Ms. DiCicco is currently Chief Operating and Chief Financial Officer of Centinel Spine, a global, privately held developer and manufacturer of spinal implants, where she has been since August 2017. From 2014 through 2017, she served as President and Chief Operating Officer of Camber Spine, a privately held spinal implant company. Prior to her roles with Centinel and Camber, from 2008 through 2014, Ms. DiCicco served as Chief Financial Officer of several private, equity backed, primarily biotech and medtech companies, including Globus Medical, Nuron Biotech and Quench. From 1996 to 2008, she served as the principal financial officer of Kensey Nash Corporation (as controller for two years and then as Chief Financial Officer for ten years), a publicly-traded medical technology company specializing in cardiology and orthopaedics and now part of Royal DSM, a Netherlands company. Ms. DiCicco was an Accounting and Audit Manager with Deloitte LLP from 1990 to 1996, where she served clients in the manufacturing and retail industries. Ms. DiCicco graduated from Philadelphia College of Textiles and Science with a B.S. degree in Accounting. Ms. DiCicco is a Certified Public Accountant in Pennsylvania and is a member of AICPA, PICPA and NACD. Her board service includes both private and public companies across the medical device and opto-electronic industries. Her private company board service includes SynCardia Systems, and her public company board service includes II-VI, Inc. and CannaPharma. She has served on the boards of multiple non-profit organizations, including the Chester County Economic Development Council and the Upper Main Line YMCA, as well as the Philadelphia Chapter of NACD.
Peter W. Hennessey, Partner at Ballard Spahr, LLP, is an experienced corporate and securities attorney who represents public and private companies, investment banks, and venture capital firms in a broad range of capital markets transactions. Peter handles initial public, follow-on, and secondary equity offerings, and investment-grade, high-yield, and convertible debt offerings.
Peter also represents public and private companies in securities law and corporate governance matters, including public company reporting under the Securities Exchange Act of 1934, compliance with the Sarbanes-Oxley Act and the Dodd-Frank Act, and compliance with stock exchange listing standards. Peter works with public companies to establish and implement appropriate corporate governance practices and advises clients on stockholder engagement on compensation and governance matters.
Ms. McLoughlin is the Sr. Director of Data Strategy and Innovation at Broadridge Financial Solutions. She is responsible for Issuer data insight through their Shareholder Data Services offering as well as other products and services designed to assist with increasing shareholder engagement. With 15 years in the financial services industry, Sherri has worked with hundreds of Issuers to maximize their efforts in proxy campaigns and achieve their goals in corporate governance. She has experience acting as the Master Tabulator for over 10,000 proxy campaigns and has worked with both Issuers and Activists on contested proxy elections. In her current role, she works closely with Corporate Issuers to understand their shareholder base, strategically target their investors using a data-driven approach, and measure the effectiveness of their proxy strategies.
