Healthcare, a highly complex and dynamic industry,  is heavily regulated at the federal, state, and local levels, and specialized knowledge may be necessary for some, if not all, board members. Further, healthcare organizations are often nonprofits, and board compensation may be low or nonexistent. Our panel of healthcare governance experts will explore these and other Governance Challenges of Healthcare Organizations.

Jane Scaccetti

Jane Scaccetti has been a practicing CPA in good standing with the Pennsylvania Department of State, Bureau of Professional and Occupational Affairs since 1977. Ms Scaccetti has extensive experience in tax and financial services for the family-owned and entrepreneurially driven business. As part of her practice, Ms Scaccetti consult with public and privately owned companies and provide both corporate and individual business and financial counseling. In 1987, while a partner in the national accounting firm of Laventhol & Horwath, Ms Scaccetti became the first woman tax partner of any Big Eight firm in Philadelphia. In 1990, Ms Scaccetti was a founding shareholder of Drucker & Scaccetti. As CEO, she manages over 50 professionals plus three active affiliates and related business operations. She is responsible for strategic initiatives, business development and professional career development in addition to servicing complex family-owned and closely-held businesses. Ms Scaccetti has proven expertise in retail, real estate, distribution and health care and sophisticated wealth planning techniques and board governance. She is a member of the American Institute of Certified Public Accountants and the Pennsylvania Institute of Certified Public Accountants. Her civic and community service includes serving as a Trustee of Temple University. Ms Scaccetti also sits as a Trustee of Salus University, where she chairs the Finance Committee. Ms Scaccetti served as Chair of the Board of Temple University Health System (TUHS) for 5 years from 2008-2013 and continues as a member of the Board of Directors chairing the Finance and Investment Committee. Ms Scaccetti is also Chair of the Board at Temple University Hospital. Over the years, Ms Scaccetti has sharpened her business acumen and acute sense of governance by serving on the boards of public SEC filers. On each of the public filers, Ms Scaccetti qualifies and is identified under the SEC rules as the “audit committee financial expert”. Ms Scaccetti has also served on the boards of three companies who have entered transactions to sell or ‘go private’, was a board member when three different activists at different times expressed interest in the company and eventually negotiated seats on the board. She governed after a ‘broken deal’ when an agreement to sell the company was terminated and a significant breakup fee was paid to the company. She has sat on multiple CEO Search Committees, twice chaired a Special Litigation Committee to review a corporate transaction and was a member of a Special Real Estate Committee to determine the best use of company real estate. Ms Scaccetti also as Audit Committee Chair conducted two investigations and governed a few times through the transition of interim to permanent CEO situations. In 2016, Ms Scaccetti joined the board of Myers Industries, Inc (NYSE: MYE). She serves on the Audit Committee and the Governance Committee. Myers engages in the manufacture of polymer products for industrial, agricultural, automotive, commercial, and consumer markets. In 2015, Ms Scaccetti joined the board of Penn National Gaming, Inc (NASDAQ: PENN). There she serves as Chair of the Audit Committee. PENN owns and operates casinos and racetracks. The company operates its business in the Midwest, East/West and Southern plains. Ms Scaccetti also serve on the board of Mathematica Policy Research which is a policy research organization of over 1200 employees with offices in Princeton, Cambridge, Chicago, Washington, Ann Arbor, and Oakland. She is member of their Audit Committee. Ms Scaccetti was a member of the board of The Pep Boys (NYSE:PBY) from 2002-2016. She served as Chair of the Audit Committee and a member of the Nominations and Governance Committee. PBY was a New York Stock Exchange company with over $2B in sales when it was sold to a private firm in 2016. Her prior board experience included DiGiorgio Corporation (DGI), a public filer with the SEC, was a large warehousing and distribution company. Ms Scaccetti was Chair of the Audit Committee and sat on many ad hoc Strategic Planning Committees. She also served on the board of Nutrition Management Services Company (NMSCA), a small public company from 1992-2009. Ms Scaccetti was an independent director of Keystone Health Plan East (KHPE) the for-profit Health Maintenance Organization (HMO) of Independence Blue Cross 1998-2008 and resigned to accept the position of Chair of TUHS. In the late 1990’s, Ms Scaccetti served on the board of The University of the Arts (U Arts) remaining as an advisor to the Finance Committee until 2008. For ten years, Ms Scaccetti was a board member of First Penn Bank. There she served on the Strategic Planning Committee and was active in mergers/acquisitions and their conversion from a mutual company to a bank. She also chaired the Audit and Finance Committees. Ms Scaccetti has served on many civic boards including the Philadelphia 2016 DNC Host Committee; Mayor Rendell's 1992 Transition Team, and the Committee for Judicial and U.S. Attorney Nominations for the Eastern District of PA (1993-95). From 1990-92, Ms Scaccetti was a full-time professor at Temple University, teaching taxation in the master’s program and managerial accounting as part of the undergraduate curriculum. Her contributions have been recognized over the years. Ms Scaccetti is the 2016 recipient of the Take the Lead Award from the Girl Scouts of Eastern PA; 2014 Temple University Hospital Diamond Award, 2013 inaugural recipient of the Philadelphia Business Journal Outstanding Directors Award. In 2006 Ms Scaccetti was given the PA Best 50 Women in Business Award, and the Pinnacle Award. Ms Scaccetti was honored by the Philadelphia Business Journal as a Women of Distinction Award in 2010.

David Nash, MD

David B. Nash was named the Founding Dean of the Jefferson College of Population Health (JCPH) in 2008. This appointment caps a 25-year tenure on the faculty of Thomas Jefferson University. He is also the Dr. Raymond C. and Doris N. Grandon Professor of Health Policy. JCPH provides innovative educational programming designed to develop healthcare leaders for the future. The College offers Masters Programs in Public Health, Healthcare Quality and Safety, Health Policy, Applied Health Economics and Population Health. JCPH also offers a doctoral program in Population Health Sciences. Dr. Nash is a board-certified internist who is internationally recognized for his work in public accountability for outcomes, physician leadership development, and quality-of-care improvement. Repeatedly named to Modern Healthcare’s list of Most Powerful Persons in Healthcare, his national activities cover a wide scope. Dr. Nash is a principal faculty member for quality of care programming for the American Association for Physician Leadership in Tampa, FL and leads their academic joint venture with JCPH. He serves on the NQF Task Force on Improving Population Health and the John M. Eisenberg Award Committee for The Joint Commission. He also is a founding member of the AAMC-IQ Steering Committee, the group charged with infusing the tenets of quality and safety into medical education. Dr. Nash was recently appointed to the Board of the Pharmaceutical Quality Alliance (PQA) in Washington, DC. Dr. Nash has governance responsibilities for organizations in the public and private sectors. He has chaired the Technical Advisory Group (TAG) of the Pennsylvania Health Care Cost Containment Council (HC4) for 18 years and he is widely recognized as a pioneer in the public reporting of outcomes. In the not-for-profit sector, Dr. Nash served on the Board of Trustees of Catholic Healthcare Partners (now Mercy Partners), in Cincinnati, OH (1998–2008), where he was the inaugural chair of the board committee on Quality and Safety. He just concluded his tenure (2009-2017) on the board of Main Line Health, a four-hospital system in suburban Philadelphia, Pennsylvania, where he also chaired the board committee on Quality and Safety. He now serves on the board of the Geisinger Commonwealth School of Medicine. In the for-profit sector, Dr. Nash was named to the Board of Directors for Humana, Inc., one of the nation’s largest publically traded healthcare companies, in 2009. In October 2013 he joined the board of Vestex, a privately held advanced medical textile company in Orlando, FL. In 2014 he joined the board of InfoMC, a leading information technology company in suburban Philadelphia. He is on the health care advisory board for Arsenal Capital Partners in NYC. Dr. Nash has received many awards in recognition of his achievements. He received the top recognition award from the Academy of Managed Care Pharmacy (1995), the Philadelphia Business Journal Healthcare Heroes Award (1997), and was named an honorary distinguished fellow of the American College of Physician Executives in 1998. In 2006 he received the Elliot Stone Award for leadership in public accountability for health data from NAHDO. Wharton honored Dr. Nash in 2009 with the Wharton Healthcare Alumni Achievement Award and in 2012 with the Joseph Wharton Social Impact Award. Also in 2012, he and JCPH received the Philadelphia Business Journal award for innovation in medical education. Dr. Nash’s work is well known through his many publications, public appearances, “Nash on the Road” blog, and online column on MedPage Today. He has authored more than 100 peer-reviewed articles and edited 23 books, including Connecting with the New Healthcare Consumer, The Quality Solution, Demand Better, and most recently Population Health: Creating a Culture of Wellness (2nd edition). He was the inaugural Deputy Editor of Annals of Internal Medicine (1984-1989). Currently, he is Editor-in-Chief of American Journal of Medical Quality, Population Health Management, P&T, and American Health and Drug Benefits. Dr. Nash received his BA in economics (Phi Beta Kappa) from Vassar College; his MD from the University of Rochester School of Medicine and Dentistry and his MBA in Health Administration (with honors) from the Wharton School at the University of Pennsylvania. While at Penn, he was a former Robert Wood Johnson Foundation Clinical Scholar and Medical Director of a nine-physician faculty group practice in general internal medicine. Dr. Nash lives in Ardmore, PA, with his wife of more than 37 years, Esther J. Nash, MD. They have 3 adult children. He enjoys tennis, jogging, and biking.

Victoria Heller Johnson

As a member of the firm's Corporate Department, Animal Law Practice and Health Law Group, Victoria concentrates her practice on corporate and health care transactions, with a focus on: • Purchases and sales of businesses, including medical, dental, veterinary and other professional practices, imaging centers, nursing facilities, mental health providers, drug and alcohol treatment facilities, home care agencies, and other types of licensed and non-licensed businesses • Hospital-physician relationships and affiliation strategies • Health care affiliations, mergers, joint ventures and contractual arrangements • Regulatory compliance and licensing matters • Corporate practice of medicine issues • Compliance with federal and state fraud and abuse laws, including self-referral, anti-kickback, feesplitting and similar laws • Governmental and third-party pay or contracting and reimbursement matters • Physician compensation and governance issues • Physician employment contracts • Buy-ins and buy-outs Victoria has positioned herself as a key health care transactional attorney. Her experience extends to: • Counseling hospitals, ambulatory surgical facilities, mental health facilities, nursing homes, assisted living facilities, diagnostic testing facilities, sleep centers, drug and alcohol treatment facilities and a wide variety of other health care providers on state and federal licensing and regulatory issues • Advising clients with respect to Medicare and Medicaid enrollment, reimbursement and other issues • Counseling hospital clients on compliance with the Joint Commission and federal and state standards for medical staff bylaws In addition to health care regulatory and transactional work, Victoria also routinely handles various types of general corporate and commercial transactions. She was also a judicial extern to the Hon. Martin L. C. Feldman of the U.S. District Court for the Eastern District of Louisiana. Beyond Fox Rothschild An active member of her community, Victoria serves on the March of Dimes Chester County Women of Achievement Committee, providing fundraising for its annual dinner. Victoria previously served on the Board of Directors for The Center for Advancement in Cancer Education, a nonprofit organization based in Wynnewood, Pa.

Thomas Saporito

Dr. Tom Saporito is Executive Chairman of RHR International which he joined in 1979. Tom assumed the role of Chief Executive in 2007, Chairman in 2009, and became Executive Chairman in 2016. RHR is the premier firm of management psychologists and consultants specializing in Governance and Top Management leadership. Tom oversees a global firm with an international workforce and network of offices throughout the U.S., Canada, Europe and Asia. Tom's own consulting experience, over the past 30 years, involves more than 100 companies, serving as advisor and confidante to Boards and CEOs in the areas of Board Effectiveness, CEO Succession, Senior Executive Development, and Top Team alignment. He has worked closely with major companies in the midst of strategic shifts including Healthcare, Consumer Products, Electric Utilities, and Insurance in 15 countries. A widely recognized expert in Governance and CEO Succession, Tom is frequently quoted in the Wall Street Journal, Forbes, Chief Executive magazine and Corporate Board. His most recent publication is the book "Inside CEO Succession" (Wiley, 2013). He was also a member of the National Association of Corporate Directors' Blue Ribbon Commission on CEO Succession. He currently sits on the Boards of RHR International, Mobley Group Pacific, Northwestern Human Services, and Bayada Health Care. He received his Doctorate in Psychology in 1977. He is married with 4 grown children, and six grandchildren.
